한화그룹, 대우조선해양 인수 추진..2조원 유상증자 체결

방산·친환경 에너지 사업서 ‘글로벌 메이저’ 성장 포석

한화그룹이 방위산업과 친환경에너지 사업의 시너지를 위해 대우조선해양 인수에 나선다. 

 

그룹의 핵심역량을 글로벌 톱-티어인 대우조선의 설계·생산 능력과 결합해 회사의 조기 흑자전환은 물론, 방산과 친환경 에너지 사업에서 ‘글로벌 메이저’로 성장하겠다는 포석이다.

 

한화그룹은 26일 대우조선과 2조원 규모의 유상증자를 통해 대우조선 지분 49.3%를 확보하기 위한 경쟁 입찰과 실사, 해지 등에 관한 내용을 담은 조건부 투자합의서(MOU)를 체결했다고 밝혔다. 

 

또한, 대우조선의 대주주인 KDB산업은행과는 향후 대우조선의 경영정상화를 위해 협력하겠다는 내용의 기본합의서에 함께 서명했다.

 

이번 거래가 이뤄지면 방산 및 제조, 기계, 수주, 체계종합(System Integration) 등 사업 성격이 유사하고 최근 사업호조로 안정적인 실적을 내고 있는 한화에어로스페이스와 한화시스템이 각각 1조원과 5000억원을 투자할 예정이다. 한화임팩트파트너스(4000억원) 및 한화에너지의 자회사 3곳(1000억원) 등 모두 6개 계열사가 참여한다.

 

투자사들은 상세 실사 뒤에 공정한 경쟁을 거쳐 최종 인수자로 선정되면 올해 11월말경에 본계약 체결을 목표로 하고 있다.
