중앙일보 그룹 도산-한국언론의 대위기(大危機)...“벌벌 떠는 이유”

1965년에 출발한 레거시(기성) 언론그룹인 중앙그룹(중앙일보-JTBC)의 경영 위기로 인한 매각추진은 대한민국 언론이 위기에 처해 있음을 실감케 한다.

 

이병철 삼성그룹 창업회장은 중앙일보에 대한 대단한 애정을 지녔었다. 중앙 언론그룹은 그간 이병철 삼성 창업주의 기업보국(企業保國) 이념을 위한, 기업 수호와 기업 유지-발전을 위한 정보사령탑 역할을 해냈을 것이다. 이 언론그룹은 홍진기(홍석현 중앙일보 회장의 부친) 전 법무장관과 동업(同業)체제로 성장시켜 왔었다.

 

언제부터인가, 대한민국의 거대 매체를 호칭할 때 ‘조중동’이라는 단어가 생겨났을 정도로 중앙 언론그룹의 사회적 지위는 대단했었다. 그런데 도산(倒産) 위기에 직면, 매각 절차를 밞고 있는 것이다. 대한민국 최고부자 재벌인 삼성그룹이 가문의 명예를 걸고, 애지중지 키웠던 언론매체, 중앙 언론그룹의 도산실상을 바라보면서, 그 냉엄한 현실 앞에서, 벌벌 떨지 않을 언론 매체가 그 어디에 있으랴?

그렇다면, 중앙 언론 그룹은 왜 도산이라는 최악의 경영위기로 내몰렸을까? 중앙 언론그룹이 도산 상태 및 심각한 유동성 위기에 빠진 가장 결정적인 원인은 무리한 차입(대출)에 의존한 무모한 투자 실패와 계열사 간 얽혀 있던 연쇄 보증 구조 때문인 것으로 알려져 있다. 자체 현금 창출 능력을 고려하지 않고 덩치 키우기에만 집중했던 ‘경영 실패’가 미디어 시장 악화와 맞물리며 그룹 전체가 무너지는 결과를 낳았다는 지적이다.

경영위기를 초래한 핵심 원인은 ‘승자의 저주’가 된 대형 스포츠 중계권 독점 계약중앙그룹 파멸을 앞당긴 최악의 판단으로 꼽힌다. JTBC는 지상파 3사도 감당하기 어려워하던 IOC 올림픽(2026~2032년) 및 FIFA 월드컵 독점 중계권을 약 7,000억 원이라는 천문학적인 금액에 계약했다. 원래는 국내 타 방송사들에 중계권을 재판매하여 투자금을 회수할 계획이었으나, 협상이 전면 결렬되면서 수천억 원의 선투자금 부담이 그대로 재무구조에 거대한 구멍을 냈다.

 

언론환경의 급변화도 한 몫 했다. 넷플릭스 등 글로벌 OTT의 습격으로 인해 지상파와 종합종편 채널의 영향력이 급격히 위축됐었다. 이로 인해 방송사의 주 수익원이던 TV 광고 시장이 완전히 마비됐다. 실제로 JTBC는 2011년 출범 이후 15년 동안 단 4년을 제외하고 만성 적자에 시달렸다. 연간 1,000억 원이 넘는 적자를 기록하기도 했다고 한다.

 

메가박스·리조트 등 비 핵심 자회사의 누적 적자도 위기를 심화시켰다. 과거 중앙 언론그룹은 종합 콘텐츠 제국을 목표로 영화관 프랜차이즈인 메가박스중앙(6년 연속 영업손실)을 인수하고 휘닉스리조트 등 레저·패션 사업까지 공격적으로 영위했다. 그러나 코로나19 팬데믹을 거치며 극장과 리조트 산업이 직격탄을 맞았다. 이는 그룹의 자금을 지속적으로 갉아먹는 돈의 하수구가 됐다.

 

흥행을 해도 돈이 안 되는, 수익 구조도 문제였다. 콘텐츠 제작 자회사인 SLL(전 JTBC스튜디오)의 덩치를 키우는 과정에서 변칙적인 구조가 형성됐다. JTBC는 현금 확보를 위해 자사 인기 드라마와 예능 279편의 지식재산권(IP)을 SLL에 넘겼다. 정작 JTBC가 가진 SLL의 지분은 약 3%에 불과했다. 이 때문에 드라마가 아무리 대박이 나도 정작 방송사인 JTBC는 수익을 거의 가져가지 못하는 기형적인 적자구조가 고착됐다.

 

계열사 간 ‘상호 연쇄 보증’의 도미노 효과도 위기를 보탰다. 자체 현금이 없던 JTBC의 막대한 적자를 메우기 위해 지주사인 중앙홀딩스를 비롯한 계열사들이 복잡하게 자금을 돌려막고 꼬리에 꼬리를 무는 연쇄 지급보증을 섰다. 그룹 총차입금이 2조 8,000억 원(자본의 45배)까지 불어난 상황에서, 지난 6월 JTBC가 단돈 206억 원의 유동화 차입금을 갚지 못해 디폴트를 선언하자 보증을 섰던 전 계열사가 도미노처럼 함께 법정관리(기업회생)와 워크아웃에 빠지게 됐다.

어떤 기업-어떤 회사가 중앙 언론그룹의 인수 후보군에 들어 있을까? 투자은행(IB) 업계와 언론계에서는 자금력을 갖추고 미디어 영향력 확대를 노리는 부영그룹이나 이미 서울신문을 운영 중인 호반그룹 등 중견 건설 자본들이 잠재적 인수 후보로 거론되고 있다. 하지만, 매각 자금(8천억 정도 예상)의 규모가 예상외로 커서, 중앙 언론그룹의 원래 주인인 삼성그룹이 나설 수도 있다. 

 

충청남도 태안군 연포해수욕장 일대의 비핵심 토지(약 25만 평)를 공동 소유주인 삼성물산에 약 330억 원 규모로 매각하는 방안을 주채권은행인 하나은행 등 채권단과 협의 중이라고 한다. 

 

원래 상암동 중앙일보 빌딩, JTBC 빌딩, 고양시 일산스튜디오 등 3곳의 부동산을 코람코자산신탁에 5,500억 원에 매각한 뒤 재임차(세일앤리스백)하려 했으나, 그룹의 회생신청으로 인해 이 사업은 전면 중단된 상태. 콘텐츠 제작사 SLL(과거 JTBC스튜디오)의 매각도 물밑에서 추진되었으며, CJ ENM과의 시너지를 고려해 CJ그룹 측에 인사를 타진하기도 했다.

중앙 언론 그룹은 이끌어온 홍석현 중앙그룹 회장은 지난 1994년 3월 19일에 삼성코닝 부사장에서 중앙일보 대표이사 부사장 겸 발행인으로 취임, 이 언론사에 공식 입사했다. 1994년 3월: 중앙일보 대표이사 부사장 입사한 이후 1995년 중앙일보 사장, 1999년 10월에 중앙일보 회장 취임했다. 홍석현 회장이 중앙일보에 입사한 이후 혁신(革新)이 이어졌다. 홍석현 회장은 가로쓰기의 전면 단행, 섹션전문 신문의 도입 등 파격적인 언론 혁신을 주도하며 중앙일보를 종합 미디어 그룹으로 성장시켰다.
